EL RéGIMEN JURíDICO DE LAS ACCIONES EN LA SAS (II) THE LEGAL SCHEME OF SHARES IN SAS

A lo largo de este estudio pretendemos realizar una aproximación al régimen de las acciones de la sas, teniendo en cuenta su representación, su transmisibilidad, las restricciones a la misma y su diferente tipología, partiendo de su incardinación esencial en el capital social. Hemos hecho hincapié en un análisis comparado, fundamentalmente con la legislación espa ola y europea, significativamente alemana e italiana, para desbrozar horizontes y problemas, también soluciones que el régimen jurídico de las acciones puede plantear en la práctica. El régimen de la sas deja ciertas zonas en la penumbra regulatoria, y pretendemos ahora ofrecer con este estudio reflexiones e interpretaciones que puedan ayudar a completarla y mejorarla. Throughout this study we make an approach to the structure of the sas shares, given their representation, transferability restrictions on itself and its different types, based on its essential incardination capital . We have emphasized in this comparative analysis, mainly with Spanish and European law, German and Italian significantly, to clear horizons and problems, also that the legal solutions of the shares can arise in practice.
