竞业限制制度是现代企业保护商业秘密、维护市场竞争优势的重要法律工具。然而，如何合理界定竞业限制的范围成为理论与实践中的难点。本文围绕竞业限制的认定范围展开分析，探讨了竞业限制中“同类业务”的界定标准以及不同细分行业审查在司法审查中的作用。文章指出当前实务中形式审查与实质审查并存的现状，提出对我国竞业限制制度的改进建议，强调在保障企业利益与劳动者自由择业权之间应实现更好的平衡，主张在认定竞业限制范围时，应采用严格的合理性审查标准，充分考虑实际经营业务的重合度与地域竞争影响。
The non-compete system is an important legal tool for modern enterprises to protect trade secrets and maintain market competitive advantage. However, reasonably defining the scope of non-compete has become a difficult point in theory and practice. This article analyzes the scope of non-compete determination, discusses the definition criteria of “similar business” in non-compete restrictions, and discusses the role of review in different industry segments in judicial review. This article points out the current situation of the coexistence of formal examination and substantive examination in current practice, puts forward suggestions for the improvement of China’s non-compete system, emphasizes that a better balance should be achieved between protecting the interests of enterprises and the right of workers to freely choose employment, and advocates that strict reasonableness review standards should be adopted when determining the scope of non-competition, and the overlap of actual business operations and the impact of geographical competition should be fully considered.
