The Impact of the Violation of the Mandatory Provisions on the Validity of the Contract

本文立足于民法视角，依据《最高人民法院关于适用〈中华人民共和国民法典〉合同编通则若干问题的解释》第十六条关于强制性规定的法律条文予以展开分析，相较于过去依照“效力性强制性规定”与“管理性强制性规定”来划分强制性规定的做法，《民法典合同编通则解释》第十六条通过“但书”解释的视角展开，为合同法的实施提供了更为明确和统一的指导原则。文章阐述了效力性强制性规定与非效力性强制性规定的理论基础；分析了在司法实践中，如何准确判断合同是否违反强制性规定所面临的挑战；并提出相应措施，旨在提升法律适用的准确性与公正性，促进市场经济的健康发展与社会秩序的和谐稳定。
Based on the perspective of civil law, this article analyses the legal provisions on mandatory provisions in Article 16 of the Interpretation of the Supreme People’s Court on Several Issues of the Application of the General Provisions of the Civil Code of the People’s Republic of China. Compared with the past, in accordance with the “effective mandatory provisions” and “mandative mandatory provisions.” The practice of dividing the mandatory provisions, Article 16 of the Interpretation of the General Provisions of Contracts of the Civil Code, is developed from the perspective of the interpretation of the “provision letter”, which provides a clearer and more unified guiding principle for the implementation of the contract law. The article explains the theoretical basis of effective mandatory provisions and non-effective mandatory provisions; analyses the challenges of how to accurately judge whether a contract violates mandatory provisions in judicial practice; and puts forward corresponding measures aimed at improving the accuracy and fairness of the application of the law and promoting the healthy development of the market economy and the harmony and stability of social order.
