推动国家治理体系与治理能力的现代化是我国全面深化改革的核心目标，而完善的公司治理体系构成了国家治理体系现代化的基础。本文聚焦于国有合资合作页岩气公司治理的研究，回顾中国页岩气勘探开发的历史进程，梳理国有合资合作页岩气公司的主要治理模式及其优缺点，剖析当前治理现状与存在的问题，并在此基础上提出针对性的管理建议，为国有能源公司在页岩气等非常规油气资源开发中的合资合作治理提供理论支撑与实践指导。
Promoting the modernization of the national governance system and governance capacity is the core goal of China’s comprehensive deepening reform, and the perfect corporate governance system constitutes the foundation for the modernization of the national governance system. This paper focuses on the research on the governance of state-owned joint ventures and cooperative shale gas companies, reviews the historical process of shale gas exploration and development in China, sorts out the main governance models and their advantages and disadvantages of state-owned joint ventures and cooperative shale gas companies, analyzes the current governance status and existing problems, and puts forward targeted management suggestions on this basis, so as to provide theoretical support and practical guidance for the joint venture and cooperative governance of state-owned energy companies in the development of shale gas and other unconventional oil and gas resources.
