新《公司法》对一人公司法人人格否认制度进行了修改，本次修改仅在形式体例上做出调整，该制度的司法适用仍然存在一人公司的法人人格否认率畸高、一人公司法人人格否认的证明标准简单化、举证责任分配上有分歧等问题。应当在明确问题成因的基础上，紧密联系法律规定，结合实践中的具体做法，通过明确法条的适用逻辑、督促办案人员在案件审理中保持中立、构建一人公司法人人格否认制度的标准化体系、加强一人公司的合规经营建设，进而一次性彻底解决一人公司法人人格否认制度的司法适用问题。
The new Company Law has revised the system of denial of legal personality of one-person company, and this revision has only made adjustments in the form and style, and the judicial application of this system still has the problems of abnormally high rate of denial of legal personality of one-person company, simplification of the standard of proof of denial of legal personality of one-person company, and disagreement in the distribution of the burden of proof. On the basis of clarifying the causes of the problems, the judicial application of the system of denial of legal personality of one-member companies should be thoroughly resolved by clarifying the logic of application of the law, urging the case handlers to maintain neutrality in the trial of the case, constructing a standardized system of the system of denial of legal personality of one-member companies, and strengthening the construction of one-member company’s compliant operation, in order to solve the problems of the judicial application of the system of denial of legal personality of one-member companies at one time.
