试论我国《证券法》中特别代表人诉讼制度
On the Litigation System of Special Representative in Our Securities Law

2020年3月1日，修订后的《中国人民共和国证券法》正式施行，在此次新修订的证券法中规定了特别代表人诉讼制度，同年7月最高人民法院出台了相关解释，细化了该制度实际运用的具体细节，特别代表人诉讼制度实际上就是民事诉讼法中代表人诉讼制度在证券领域的具体应用。特别代表人诉讼制度作为一种新的具有中国特色的代表人诉讼制度，不仅完善了证券集体诉讼制度，更有利于节约司法资源，保护投资者的合法权益。本文旨在探究该制度，分四个部分对其进行全面剖析。首先从其立法背景、实践案例、特点等方面全面了解该项制度；其次通过理论意义和实践意义两个方面去论证该项制度的存在的必要性；再其次针对该项制度在现实中存在的诸多问题，结合实际情况提出几点建议；最后解决该项制度在实践中所存在的问题，从而完善对特别代表人诉讼制度的构建。
On March 1, 2020, the revised “Securities law of the People’s Republic of China” came into force. The newly revised securities law provides for a system of litigation by special representatives. In July of the same year, the Supreme People’s Court issued relevant explanations, the Special Representative Litigation System is actually the application of the Representative Litigation System in the field of securities in the civil procedure. As a new representative litigation system with Chinese characteristics, the Special Representative Litigation System not only improves the securities class action system, but also helps to save judicial resources and protect the legitimate rights and interests of investors. This article aims to explore the system, divided into four parts of its comprehensive analysis. First of all, we can understand the system from its legislative background, practical cases, characteristics, and so on. Second, we can prove the necessity of the system’s existence through theoretical and practical significance. Thirdly, in view of the problems existing in the system in reality, this paper puts forward some suggestions in combination with the actual situation, and finally solves the problems existing in the practice of the system, so as to perfect the construction of the litigation system of the special representative.
