Current Developments Concerning Representation of Shareholders in General Assembly of Joint Stock Companies

On 10.03.2018, Code No. 7099, which was published in Official Journal No. 30356, repealed Turkish Commercial Code article 428, which was related to collective representation, article 430 with the title line “declaration” and article 431 with the title line “notification”, through its article 23. In this article, effects of the mentioned amendments on representation of the shareholder in general assembly of joint stock company are examined. Primarily, repeal of article 428 of Turkish Commercial Code and evaluations regarding to this are stated. Thereafter, repeal of the article 430 of Turkish Commercial Code with the title line “declaration” and the article 431 of Turkish Commercial Code with the title line “notification” and evaluations regarding to these are explained. Finally, assessments concerned the current state of the shareholder after the mentioned amendments and the conclusions are expressed
