Keywords: At the end of the twentieth century and beginning of twenty-first century, many large companies have witnessed serious financial crises. These financial crises pushed governments and large companies to find solutions by focusing on the effective role of the application of corporate governance principles applied in most countries. Corporate governance principles have been the concern of governments and large companies. This study aimed to highlight the corporate governance principles in terms of origin and development stages. It also investigated the principle of disclosure and transparency and its impact on the governance and proposed foundations for governance that can be adopted in Yemen since the fact that the legal system did not highlight corporate governance in legal legislations. The study has come up with certain findings and recommendations, foremost of which are that the legal system did not highlight corporate governance. The study recommended the enactment of laws that recognize and regulate business corporate governance in common with the majority of Arab legislations. It also recommended that the regulators and respective authorities in Yemen need to adopt the rules of corporate governance applied in other countries. These rules have been a norm of business in the modern era and are of an extreme significance in reducing administrative and financial corruption encountering companies in our country. Additionally, the study recommended that the ethical principles should be considered through the application of governance rules.
