论公司章程在党组织参与国企治理中的作用
On the function of corporation article in CCP organization’s participation governance in state-owned corporations

摘 要： 从国企治理本质看，公司章程在党组织参与国企治理中的作用至关重要。不过，我国国企公司章程在党组织参与治理中的作用一直没有受到重视，有必要通过立法对其予以突出。党组织对国企治理的参与，关键在于正当和有效。由公司章程对党组织参与国企治理的范围和程度进行界定，此为党组织参与治理提供了正当性依据。同时，为实现党组织参与治理的有效，公司章程还需要对党组织参与治理进行约束与提供保障。
Abstract: According to the essence of state-owned corporation governance, the function of corporation article is key in CCP organization’s participation governance in state-owned corporations. However, the function has been ignored in our country, and it is necessary to emphasize corporation article by legislation. The core of CCP organization’s participation governance in state-owned corporations is that participation governance must be just and efficient. For the sake of justice, corporation article should define the range and degree of the participation governance, and for the sake of efficiency, corporation article should restrict and ensure participation governance
