The first American Uniform Limited Partnership Act was amended again in 1985, which was comprehensively revised in 1976 and amended again in 1985. In 1998, the American legislature proposed the third revised draft of the Uniform Limited Partnership Act. We might use the American experience in the partnership laws for reference.
