On the Power Expansion and Responsibility Undertaking of the Bankruptcy Administrator %A 朱晓航 %J Open Journal of Legal Science %P 668-677 %@ 2329-7379 %D 2023 %I Hans Publishing %R 10.12677/OJLS.2023.112096 %X 在公司进入破产程序，管理人接管债务人后，其权力与职责应当贯穿于破产程序的各个环节。然现有法律框架下，管理人的调查权被限缩；重整、预重整程序中管理人制度存在留白；且对于清算责任的追究，只赋予债权人请求赔偿的权利，管理人无权追责。这种基于侵权思维的直接单线救济方式，不仅在实施上多有困难，更是对管理人地位的虚置。继地方相关文件的纷纷出台，管理人可追究经营者赔偿责任，得以窥见管理人权力扩张之趋势与债权人保护之加强，这实则为管理人中心地位的彰显。管理人职责的扩大，势必需要明确的管理人监督和责任机制与之匹配。基于此，本文拟对于管理人的权力架构与责任承担提出初步的设想，以期进一步完善管理人制度。
After the company enters the bankruptcy process and the bankruptcy administrator takes over the debtor, its power and responsibility should run through all aspects of the bankruptcy process. However, under the existing legal framework, the administrator’s investigation power is limited; the bankruptcy administrator system has blank space in the Reorganization and Prepackaged Reorganization process; and for the liquidation responsibility, only the creditors have the right to claim compensation, and the bankruptcy administrator has no right to pursue accountability. This kind of direct single-line relief method based on tort thinking is not only difficult in the implementation, but also the empty position of the bankruptcy administrator. Following the release of relevant local documents, the administrator may pursue the operator for compensation, it was possible to see the trend of the expansion of bankruptcy administrator’s power and the strengthening of creditor’s protection. This is actually a manifestation of the central position of the bankruptcy administrator. The expansion of bankruptcy administrator’s responsibility is bound to require a clear administrator supervision and responsibility mechanism to match it. Based on this, this paper intends to put forward a preliminary idea for the bankruptcy administrator’s power structure and responsibility, in order to further improve the bankruptcy administrator system. %K 破产管理人，权力与责任，管理人中心地位，清算责任，经营者赔偿责任
