%X 中国社会主义商法理论渊源于马克思主义及其中国化的理论成果，以公有和私有混合的商事主体制度、公有和私有属性并存的商事财产制度、核心领域的国有垄断与一般领域的市场竞争并存的商事秩序安排、生产及贸易与金融等新型商事活动并重的商事行为制度、法律监管和行政监管兼容的商事法律规则体系、以国家经济政策为引导的商事立法模式等为特色。中国社会主义商法开创性地创造了独具中国特色的商法制度，构建了具有中国特色的社会主义市场经济体制。但是，中国社会主义商法存在缺乏预见性、碎片性、法律规范冲突、商法理论薄弱、商事一般法缺位等问题。为了巩固中国社会主义商法的制度创新成果，中国需要增强商事法律的稳定性，推动商事法律走向系统化，以法律规则取代行政决策，形成全社会尊重商人、保护商人的正确风气，培育良好的营商法制环境。</br>The theory of Chinese socialist commercial law originates from the theoretical achievements of Marx doctrine and its sinicization. Its characteristics are as follows：(1) the commercial subject mixed by public and private ownership;(2) the commercial property containing both public and private components;(3) state-owned monopoly in core industries and competition in others;(4) the commercial conduct laying equal stress on production, trade and financial innovation;(5) the system of commercial law embedding both legal supervision and administrative supervision;(6) commercial legislation guided by national economic policies,and so on. Chinese socialist commercial law has created the unique system of commercial law and constructed the socialist market economy system with Chinese characteristics.But Chinese socialist commercial law still faces problems such as unpredictability, fragmentation,conflicts of legal norms,weak theoretic foundation and lack of general commercial law.In order to consolidate Chinese socialist commercial law innovation results,we need to strive for the followings:(1) enhancing the stability of commercial law;(2) promoting the systematization of commercial law;(3) replacing administrative decisions with legal rules;(4) forming a social atmosphere of respecting and protecting businessmen;(5) fostering a positive legal environment for business.
