%X L¡¯approche dominante de la RSE est celle men¨¦e en termes de   parties prenantes   (R. E. Freeman). Davantage qu¡¯une th¨¦orie, elle est un slogan qui irrigue autant le discours scientifique que les discours manag¨¦rial et politique. On peut en faire deux lectures. La premi¨¨re, pour nous r¨¦ductrice, est celle d¡¯une d¨¦construction de l¡¯entreprise comme institution et son remplacement par une forme de repr¨¦sentation marchande fond¨¦e sur des ¨¦changes bilat¨¦raux entre individus rationnels. La seconde, plus prometteuse s¡¯agissant d¡¯identifier les potentialit¨¦s de la RSE en termes de r¨¦gulation du capitalisme, revient ¨¤ armer la notion de partie prenante d¡¯une th¨¦orie de l¡¯acteur et de l¡¯institution. C¡¯est la position que nous d¨¦fendons en mobilisant l¡¯institutionnalisme de Karl Polanyi. The dominant approach of CSR is based on the concept of ¡°stakeholders¡± (R. E. Freeman). More than a theory, it is a slogan which irrigates as much the scientific discourse as the manager and political discourses. We can make two readings of this slogan. The first one, which is very reducing for us, consists on the deconstruction of the firm as institution and its replacement by a market representation based on bilateral exchanges between rational individuals. The second one, more promising in order to identify the potentialities of CSR in terms of regulation, intends to found the notion of stakeholder on a theory of actor and institution. It is the position which we defend by mobilizing Karl Polanyi¡¯s institutionnalism. El enfoque dominante de la RSE es el que la expresa en t¨¦rminos de   las partes involucradas  . Mas que una teor¨ªa, ella es un slogan que irriga tanto el discurso cient¨ªfico que los discursos gerenciales y pol¨ªticos. Se pueden hacer dos lecturas. La Primera, que para nosotros es reductora, es la deconstrucci¨®n de la empresa como instituci¨®n y su reemplazo por una forma de representaci¨®n mercantil fundada sobre los intercambios bilaterales entre individuos racionales. La segunda, m¨¢s prometedora trata de identificar las potencialidades que tiene la RSE en t¨¦rminos de regulaci¨®n del capitalismo, que consiste en construir la noci¨®n de partes involucradas de una teor¨ªa del actor y de la instituci¨®n. Es la posici¨®n que nosotros defendemos movilizando el institucionalismo de Karl Polanyi.
