%X The main goal of the paper is to  understand how the process of strategy formation at a private HigherEducational School (HES) is related with multiples interests that are established between the HES and the governmental regulation. The theoretical discussion conduct to the understanding that this articulation may be clarified when is considered that the relation between the maintaining and the maintained of the HES, theprocess of strategy formation is polarized at the  continuum between the emergency and the deliberation(Mintzberg, 1978; 1988; Mintzberg; Waters, 1985) involved by the institutional isomorphism (DiMaggio;Powell, 1983) that is  motivated by the governmental regulation. In way of empirically legitimate thisdiscussion, it was realized a qualitative case study (Yin, 2001; Trivi os, 1987) at a private HES. Data werecollected via triangulation (Jick, 1979) and submitted a thematic contend analyses (Bardin, 1977; Minayo,2001). Results signalizes that the articulation of multiples interests with the governmental regulation conductthe process of strategy formation at the HES to a logic typically formalistic (Riggs, 1964). O objetivo deste artigo ¨¦ compreender o processo no qual a forma  o de estrat¨¦gias em uma Institui  o deEduca  o Superior (IES) privada se relaciona com os m¨²ltiplos interesses, que se estabelecem entre a IES e a regulamenta  o governamental. A discuss o te¨®rica levou ao entendimento de que essa articula  o pode seresclarecida ao se considerar que na rela  o entre a mantenedora e a mantida da IES, o processo de forma  o de  estrat¨¦gias polariza-se num continuum entre a emerg¨ºncia e a delibera  o (Mintzberg, 1978; 1988;Mintzberg; Waters, 1985) permeado pelo isomorfismo institucional (DiMaggio; Powell, 1983) que ¨¦motivado pela regulamenta  o governamental. Para legitimar empiricamente essa discuss o, realizou-se umestudo de caso de natureza qualitativa (Yin, 2001; Trivi os, 1987) em uma IES  privada. Os dados foramcoletados via triangula  o (Jick, 1979) e submetidos ¨¤ an¨¢lise tem¨¢tica de conte¨²do (Bardin, 1977, Minayo,2001). Os  resultados evidenciam que  a articula  o dos  m¨²ltiplos  interesses  com a regulamenta  ogovernamental fazem com que o processo de forma  o de estrat¨¦gias na IES pesquisada siga a uma l¨®gicatipicamente formal¨ªstica (Riggs, 1964).
