%X A partir de la promulgaci¨®n de la Ley N ¡ã 19.705, se da a conocer en nuestro pa¨ªs un nuevo concepto dentro del Derecho de Sociedades, los llamados gobiernos corporativos. As¨ª, este texto tiene por objeto analizar el origen de este movimiento reformador, conocer sus orientaciones jur¨ªdicas fundamentales y destacar los mecanismos jur¨ªdicos que se propugnan para modernizar la estructura de distribuci¨®n de poderes de la moderna sociedad an¨®nima. Since the enactment of Act 19.705, a new concept was brought into our country within Corporative Law, the so-called corporate governance. Thus, the purpose of this document is to analyse this reformatory movement, to know its fundamental judicial trends and to enhance the legal mechanisms they propose in order to modernise the structure of power distribution of the modern corporation.
