Theoretical and Practical Aspects Regarding the Nulity of Commercial Companies

Abstract: The absence of a Romanian legal definition of the concept of nullity of commercial companies arouses a lot of questions. The delimitation of this concept is very important for a correct establishment of its field of application. In other words, are the cases of nullity of commercial companies regulated only by Law no. 31/1990 or by the provisions of common law as well?Started from the fact that the nullity is not considered by the legislator a simple sanction applicable to the juridical acts but it affects directly the existence of the company and becomes a means to sanction the creation of a legal person by disregarding the imperative legal provisions, we analyzed firstly the Romanian (II) and the EU legal provisions regarding the nullity of commercial companies. The elements of this analyze helped us to qualify the nullity of commercial companies and its effect (III). Finally, through the conclusion formulated we hope to call the attention on the fact that a company, even created through the non-observance of the legal rules, can be viable from economic point of view and it is senseless to make it disappearance.

Abstract: At the creation moment of a commercial company, the partners have the obligation, according to Law of commercial companies, to establish its functioning duration. This duration can be limited or unlimited. The fulfillment of the time for which the company was established imposes its legal dissolution. This kind of dissolution produces specific effects that, during the time, have made the object of theoretical and practical controversial debates that we try to explain here.

Abstract: The future of computing seems to be parallel. The computers built with general purpose processors are superseded nowadays by systems built around processors with multiple cores that are designed to operate with massive amount of arithmetic operation. And more frequently these processors are able to implement an internal parallelism. A similar step was made by IBM when they proposed that a unit dedicated to arithmetical operations to be used as an accelerator node for a cluster controlled by nodes with general purpose architecture. A new approach has been made towards high performance computing (HPC), in the form of hybrid architectures. However, using machines with different architecture as a single system can pose problems in application deployment. The paper analyse these difficulties and proposes a procedure to implement a multi-level parallelism at the application level. The experimental results are discussed

Abstract: The Balanced Scorecard concept has been adopted by all types of organizations (manufacturing and service, for-profit and not-for-profit, private and public) in virtually every developed and developing nation in the world and it has evolved from its initial purpose of an improved performance measurement system to become the basis of a new management system, one that aligns and focuses the entire organization on implementing and improving its strategy. Niven’s opinion is that Balanced Scorecard means three things: measurement system, strategic management system, and communication tool. The paper talks about the Balanced Scorecard philosophy and the issues that need to be solved for a successful BSC implementation an provides recommendations for the formulation and implementation of the Balanced Scorecard.

Abstract: The paper describes some properties of new quaternized polysulfones obtained by quaternization of chloromethylated polysulfone with different tertiary amines - N,N-dimethylethylamine and N,N-dimethyloctylamine. Hydrophilic/hydrophobic properties, morphological aspects and compatibility with red blood cells and platelets are affected by the alkyl radicals and by history of the formed films. The results obtained are useful in biomedical applications, including evaluation of bacterial adhesion to the surfaces, or utilization of modified polysulfones as semipermeable membranes.

Abstract: Based on the concept that the banking system is the engine of economic development, the paper is intended as a blueprint for the banking system in Romania since 1989, stages and parts of its reorganizing process. Abstract: In a market economy, accounting convergence and normalization have as an objective organizing the operation rules of the accounting information market in order to optimize financial communication. The existence of a market implies the existence of a product. Accounting information represents the product changed on the accounting information market. This product exists only according to the rules and standards that define it. Accounting information is a “legal” specific product, because its production, presentation and dissemination must be regulated. Like other countries in transition, Romania has launched a reforming process of the financial reporting system, with the assistance of some EU member countries (France, Belgium, and United Kingdom).

Abstract: The profit and loss account summarizes the ensemble of operations that contributed to the formation of the result, profit or loss. The economic theory considers that the goal of any enterprise is to maximize profits. There are, however, enterprises that wish to obtain only a satisfactory profit. Accounting practices allow to enable enterprises to present, within certain limits, results compliant with their goals rather than with reality.
