An Empirical Study on M&A Performance: Evidence from Horizontal Mergers and Acquisitions in the United States  [PDF]

Abstract: Synergy theory holds that horizontal mergers and acquisitions (M&A) are conducted to obtain economies of scale. Horizontal M&A help companies restructure assets and resources, thereby improving the efficiency of management. Technology diffusion from the same industry help companies complement each other in R&D and improve product quality and efficiency. In addition, horizontal M&A can eliminate duplicate labor and achieve efficient use of equipment, thereby reducing fixed production costs. Scholars have made fruitful researches on the motives of horizontal M&A, and tend to agree that companies can profit from horizontal M&A. There are mixed results of empirical research on the effect of horizontal M&A, and cases of M&A failure occur from time to time. Whether horizontal M&A can achieve the desired results of managers? This paper chooses the horizontal M&A events between 1995 and 2005 when both sides of M&A are listed companies in the United States. Event study method is used to compare the volatility of stock prices in the event window of each participant to test the short-term performance of horizontal M&A. The empirical results of this paper show that the stock market in the United States has responded about a week before the announcement date of horizontal M&A due to the lack of standardization of information disclosure or inadequate regulatory means. Horizontal M&A enhance the shareholder wealth of the targets in the short term, while cause loss of shareholder wealth of the bidders on the announcement day of M&A.
Synthesis and structure of Cu5(BTA)6(TTA)4 · 5DMF, a copper-nitrogen cluster containing η Π3-benzotriazolate

Abstract: The Me cluster compound — Cu5(BTA)6(TT-A) 4 · 5DMF was prepared using thenyltrifluoroacetone and benzotriazolate ligands. The crystal structure indicates that a tetrahedral array of Cu(1), Cu(2), Cu(3) and Cu(4) ions surrounding a central Cu(5) ion are held together by bridging tridentate BTA and terminated by TTA bond cap. The three nitrogen atoms of a BTA bond three different copper ions to form a η3-benzotriazolate. The central Cu ion has a distorted octahedral structure and the surrounding Cu ions are 5 coordinated forming distorted tetragonal structures. The distances between the surrounding Cu(II) ions and the central Cu(II) ion are in the range of 0.3561–0.3755 nm and those between the surrounding Cu(II) ions are in the range of 0.5785–0.6301 nm.

Abstract: In the title compound, C7H7N2O+·I , the carbonyl C and O atoms of the cation and the iodide ion are situated on mirror planes. The mean plane of the imidazo[1,2-d]pyridinium cation is perpendicular to the mirror plane as a consequence of the disorder of the cation over two opposite orientations of equal occupancy. In the crystal, N—H...I interactions are present.

Abstract: An orthorhombic polymorph of the title compound, [Fe(C5H5)(C8H17B10O)] or C13H22B10FeO, is described here in addition to the known monoclinic polymorph [Crundwell et al. (1999). Acta Cryst. C55, IUC9900087]. The asymmetric unit contains four independent molecules with Ccage–Ccage distances of 1.636 (16)–1.700 (16) , and with the methylhydroxy groups disordered over two positions in each molecule [occupancy ratios 0.80 (2):0.20 (2), 0.59 (3):0.41 (3), 0.60 (2):0.40 (2) and 0.793 (17):0.207 (17)].

Abstract: The title compound, C11H10N2O4·H2O, has a zwitterionic structure, in which the benzimidazole ring system is planar, with a maximum deviation of 0.007 (3) . The carboxyl/carboxylate groups adopt a trans configuration. In the crystal structure, intermolecular O—H...O hydrogen bonds involving the hydroxy/oxide O atoms link the molecules into a one-dimensional chain. These chains are further linked by O—H...O hydrogen bonds involving the water molecules into a two-dimensional network. π–π contacts between the benzimidazole rings [centroid–centroid distance = 3.5716 (4) ] lead to the formation of a three-dimensional supramolecular structure.

Abstract: In the title compound, C7H9N2O4+·I3 ·C7H8N2O4, the two imidazolium units are hydrogen bonded through the carboxyl groups. The units are further linked via intermolecular O—H...O hydrogen bonding, resulting in a one-dimensional ladder-type structure. As a result, the two carboxy groups of each imidazolium unit adopt a cis configuration with respect to the imidazolium ring.

Abstract: In the title complex, [Ni(C7H4O2S)(C26H24P2)]·CH3OH, the nickel(II) centre adopts an approximately square-planar geometry, with the Ni atom coordinating to the S and O atoms of the bidentate thiosalicylate ligand and the two P atoms of the chelating Ph2PCH2CH2PPh2 ligand. There is hydrogen bonding between the methanol solvent molecule and the carbonyl O atom of the thiosalicylate ligand.

Abstract: In the title compound, [PtCl2(C18H15P)2]·CHCl3, each PtII centre adopts a nearly square-planar coordination geometry formed by two P atoms [Pt—P = 2.2481 (17) and 2.2658 (19) ] and two Cl anions [Pt—Cl = 2.3244 (19) and 2.3548 (17) ]. The Cl atoms of the chloroform solvent molecule are disordered over two orientations in a 0.778 (11):0.222 (11) ratio. The crystal packing is stabilized by weak intermolecular C—H...Cl hydrogen bonds, exhibiting voids with a volume of 215 3.

Abstract: In the title compound, [Cu(C12H9N2O)2], the CuII atom lies on a crystallographic inversion center and has a nearly square-planar geometry. The CuII center coordinates to the phenolic O and azomethine N atoms of the two symmetry-related 2-[(2-pyridyl)iminomethyl]phenolate ligands. The pyridyl N atoms do not coordinate to the CuII atom but participate in intramolecular C—H...N hydrogen bonding. π–π stacking between the benzene rings and between the pyridyl rings [centroid–centroid distances 3.8142 (5) and 3.8142 (5) , respectively] links the molecules into a chain propagating parallel to [100].

Abstract:

This paper primarily calculates the similar coefficients of the industrial structure in Changchun and Jilin City, the results show that the similarity of the three industries in the two cities is high, but the similarity of the subdivided manufacture industries is low. We also find evidence that the conditions for the industrial integration of the two cities are improved. The paper also explores the reasons for the current situation of the industrial integration in Changchun and Jilin city, then propose the measures to develop the industrial integration.
