ACTORS AND INSTRUMENTS OF THE CORPORATIVE GOVERNANCE IN SOME EAST-EUROPEAN COUNTRIES

Abstract: The paper is a brief presentation of the structures and institutions of the corporative governance, their role in the corporative control in the CEE countries in transition, i.e., insiders, banking systems, capital markets, non-banking financial agents. The paper refers to the increasing role played by the insiders, especially by the managers, in decision-making, as they tend to serve their own interests, due to their advantage concerning the business information. The development of the banking systems and capital markets may influence the governance systems, besides the non-banking financial agents, as they represent the main tools of the corporative governance. The banking system plays, by means of the credits, a special role in the corporative governance, as the debt mechanism is a means of exerting the outsiders’ control over the managers, making them act for the performance and the shareholders’ and other stakeholders’ interests. Finally, there are some conclusions concerning the features and trends of the corporative governance in some transition countries.

Abstract: In the context of globalization, the lack of stability of the production factors raises a public issue regarding the corporation’s implications in social responsibility actions. Thus, the fiscal policy promoted by corporations can and will influence corporate social responsibility actions and the fiscal aggression can be considered socially irresponsible, through costs associated to fiscal obligations nonpayments. Starting from different controversies about the correlation fiscal policy-corporative social responsibility, regarded both from the corporation or state point of view, the authors are trying to formulate their own opinion about this correlation upon a Romanian sample.

Abstract: This study, eminently theoretical and based on specific literature review, presents a brief historical approach on the corporative social responsibility, besides offering an updated view of the main norms, existing certifications and awardings in the area, searching, in a wider context, to understand both the original strategical meaning of these actions and this new clipping of observation and analysis, which points to a new niche market, with the trading of products and services that aim to support the companies in the socio-environmental issues. Abstract: Se define la taxonomía corporativa como un tipo de vocabulario controlado que refleja el contexto, la audiencia y los contenidos de una organización determinada, y que permite la representación de todos sus objetos informativos para desarrollar diferentes funciones de los sitios corporativos: la organización de contenidos, la búsqueda, la navegación, la investigación competitiva, etcétera. Se propone una metodología para dise ar taxonomías en el contexto de la gestión de proyectos, con especial acento en las etapas que necesariamente deben llevarse a cabo: la planificación estratégica, la construcción de la taxonomía, la categorización de los objetos informativos, la aplicación y presentación de la taxonomía, y el ciclo de evaluación y mejora continua. Se presenta el mercado actual de soluciones informáticas que permiten automatizar estos procesos, y se caracterizan y ejemplifican los diferentes tipos de aplicaciones existentes. A corporative taxonomy is defined as a type of controlled vocabulary that reflects the context, the audience and the contents of a given organization, and which allows the representation of all types of informational items for developing different functions in corporative sites: content organization, searching navigation, competitive intelligence, etc. A methodology for the design of taxonomies is set out in the context of project management, with special attention paid to the stages that necessarily must be carried out: strategic planning, construction of taxonomy, categorization of informational objects, application and presentation of the taxonomy, and the cycle of evaluation and continuous improvement. The present market of computer solutions for these processes is presented, including features and examples of different types of existing applications.

Sob a ótica econ mica, esses relacionamentos s o analisados pela teoria dos custos de transa o e, principalmente, pela teoria da agência, que explicam, e tentam solucionar, as divergências entre proprietários e gerentes. An investigation to determine the important functions of corporative governance was conducted to highlight mechanisms of this approach both from an economic and organizational perspective so as to understand why it has become importance in organizational studies. The evolution of organizations has separated ownership and control, often to the detriment owners or stockholders. This was analyzed from an economic point of view by the transaction cost theory and more importantly by the agency theory that explain and attempt to resolve these divergencies between owners and managers. From the organizational perspective other agents were included, without limiting the scope to only stockholders or owners and managers of a strategic level. The principal function of corporative governance systems is to resolve conflict of interests existent between the diverse agents that take part in a company. Therefore the challenge to governance is to assure that the organization is managed in consonance with stakeholder interests.

Abstract: El objetivo del trabajo que se presenta fue analizar el proceso de asimilación del almacén de datos en las organizaciones corporativas petroquímicas en el estado de Tamaulipas-México. Se evaluó el efecto del grado de adopción de la tecnología por el capital humano de la organización, y en la toma de decisiones. El proceso de asimilación del almacén de datos en el caso estudiado, disminuye el tiempo, traduciéndose en un incremento de la exactitud y precisión para la toma de decisiones. Esto se refleja en un 93.9% en la rentabilidad. Sin embargo, el estudio muestra también que no se explotan al máximo las potencialidades del almacén de datos. The purpose of this work was to analyze the data warehouse assimilation process in the petrochemical corporative organizations in the state of Tamaulipas-Mexico. The effect of the adoption degree among the personnel, and in making decisions was evaluated. The process of adoption of the data warehouse in the case studied in this work reduces time, which causes an increase in the accuracy and precision of decision making. This is shown by the 93.9% profit. However, the study also shows that the maximum potentialities of the data warehouse are not fully used.

Abstract: Adoption of corporative governance practices allegedly leads to greater transparency of company policies, strategies and actions thereby increasing asset values especially shares. For this reason an analysis was made to identify behavior of abnormal returns during adoption of the Bovespa Differentiated Levels of Corporative Governance by ten companies between 2001 and 2003 and to ascertain the impact on stockholders. Event Study methodology was used and abnormal returns were calculated by the Model of Returns Adjusted to Market, in logarithmic form. The conclusion was that adoption of the Bovespa Corporative Governance practices by ten companies did not generally bring about abnormal returns or create wealth for stockholders. A ado o de práticas de governan a corporativa supostamente leva a uma maior transparência nas políticas, estratégias e a es empresariais, que resulta na valoriza o dos ativos das empresas que as adotam, principalmente das suas a es no mercado. Baseado nessa premissa, este artigo analisou o comportamento dos retornos anormais em períodos próximos à ades o de 10 empresas aos Níveis Diferenciados de Governan a Corporativa da Bovespa, ocorrida entre 2001 e 2003, visando avaliar o seu impacto sobre o retorno dos acionistas, isto é, se criou valor para os seus acionistas. Utilizou-se a metodologia de Estudo de Evento e, para o cálculo dos retornos anormais, o Modelo de Retornos Ajustados ao Mercado na forma logarítmica. Conclui-se que a ades o das empresas analisadas n o proporcionou, de maneira geral, retornos anormais para seus acionistas, ou seja, n o resultou na cria o de riqueza para estes últimos.
